These B2C General Conditions of Sale, unless derogated from by specific written agreement of the parties, apply to all orders sent by EUSPHERA SRL

 

General Provisions

The user navigating in this area accesses EUSPHERA, reachable through the url www.eusphera.com. Navigation and transmission of a purchase order on the site implies acceptance of the Conditions and Data Protection Policies adopted by the site itself indicated therein.

 

These General Conditions of Sale B2C apply to the sale of products with exclusive reference to purchases made on the site in accordance with the provisions of Part III, Title III, Chapter I, Consumer Code (Legislative Decree no. 206/05 amended by Legislative Decree no. 21/14 and Legislative Decree 70/039 by

The user is encouraged to download and print a copy of the purchase form of these General Terms and Conditions of Sale, the terms of which EUSPHERA reserves the right to change further without notice. It is your responsibility to check this page periodically to be informed of any changes. Your continued use or access to the site after any changes are posted implies your acceptance of those changes.

 

By accepting these Terms and Conditions, you represent that you are of legal age and consent to the use of the site by minors who are under your care.

 

Use of our products for illegal or unauthorized purposes, or in violation of laws in force in the jurisdiction of the user making use of them (including, but not limited to, copyright laws) is prohibited.

 

You may use the site and thereby access and purchase products provided by it in the following languages: Italian, English, and Spanish

These B2C General Terms and Conditions of Sale govern the offer, submission and acceptance of purchase orders for products from EUSPHERA and do not, on the other hand, govern the provision of services or the sale of products by parties other than the seller who are present on the same site through links, banners or other hypertext links.

 

Before placing orders and purchasing products and services from parties other than the vendor, we suggest that you check their terms and conditions of sale.

 

Conclusion of the contract

To conclude the purchase contract, you will need to fill out the form in electronic format and submit it following the relevant instructions.

 

In it you will find the General Conditions of Sale B2C, images of each product and its price, the means of payment that you can use, the mode of delivery of the purchased products its shipping and delivery costs, a reference to the conditions for the exercise of the right of withdrawal; mode and time for returning the purchased products.

 

Before concluding the contract, you will be asked to confirm that you have read the General Conditions of Sale B2C including the information on the right of withdrawal and the processing of personal data.

 

The contract is concluded when the seller receives the order confirmation by e-mail from the user, after verification of the correctness of the data contained therein.

 

The user will be obliged to pay the price from the moment the online order submission procedure is completed. This will be done by clicking on the "place order" button at the end of the wizard.

 

By concluding the contract, the seller will take over the order for fulfillment.

 

We reserve the right to refuse service to anyone for any reason at any time.

Registered Users

In completing the registration procedures, the user undertakes to follow the directions on the site and to provide his/her personal data correctly and truthfully.

 

Once a registration has been made, the user will receive a confirmation e-mail in the e-mails provided by him. The user undertakes to promptly inform EUSPHERA of any changes in their data at any time communicated.

 

If then the user communicates inaccurate or incomplete data or even in the event that there is a dispute by the parties concerned about the payments made, EUSPHERA will have the right not to activate or to suspend the service until the relevant shortcomings are remedied.

 

Product availability

Product availability refers to actual availability at the time the user places the order. However, this availability must be considered purely indicative because, as a result of the simultaneous presence on the site of several users, the products could be sold to other customers before the confirmation of the order.

 

Even after the order confirmation e-mail is sent, there may be cases of partial or total unavailability of the goods. In this eventuality, the order will be rectified automatically with the deletion of the unavailable product and the user will be informed immediately by e-mail.

 

If the user requests cancellation of the order, terminating the contract, EUSPHERA will refund the amount paid within 14 days from the time EUSPHERA became aware of the buyer's decision of the contract.

Payment arrangements and prices

The price of all products will be as stated from time to time on the site except where there is an obvious error. In case of error EUSPHERA will notify the purchaser as soon as possible allowing confirmation of the order at the correct amount or cancellation. In any case, there will be no obligation for EUSPHERA to supply what is sold at the lower price erroneously indicated.

 

Prices on the site are inclusive of VAT and do not include shipping costs or any cash on delivery. Prices are subject to change at any time. Changes do not affect orders for which an order confirmation has already been sent.

 

Once the desired products have been selected, they will be added to the shopping cart. You will simply follow the purchase instructions, entering or verifying the required information at each step of the process. Order details may be changed before payment.

 

Payment can be made by:

If you buy with Scalapay you receive your order immediately and pay in 3 installments. You acknowledge that the installments will be assigned to Incremento SPV S.r.l., related parties and their assignees, and that you authorize such assignment.

Delivery

EUSPHERA makes shipments throughout the Italian territory, including the state of Vatican City and the Republic of San Marino, in the territories of the European Union and Extra EU.

 

EUSPHERA will only make delivery to the address indicated by the user, provided at the time of purchase.

 

The delivery is made, for the Italian territory, generally within 24 - 48 hours, or, if no delivery date is specified, within the term estimated at the time of shipment of the mode of delivery and, in any case, within the maximum term of 30 days from the date of confirmation.

 

As for EU countries, delivery will be made in 48 to 72 hours, and in any case, within the maximum period of 30 days.

 

In non-EU territories, delivery will be made in approximately 5 - 7 days, and in any case, within the maximum period of 30 days.

 

If delivery is not possible, a notice will specify the location of the order and how a new delivery can be arranged.

 

If you are unable to be present at the delivery location, you will be contacted again to arrange a new delivery date.

 

If delivery cannot take place for reasons beyond our control after 30 days the date on which

 

the order is available for delivery, we will assume that we intend to terminate the contract.

 

As a result of termination, the amounts will be returned, redelivered with the exclusion of any additional costs resulting from the choice of a delivery method other than the ordinary method offered without undue delay and, in any case, within 14 days from the date of termination of the contract. Transportation resulting from the termination of the contract may have additional costs that will be borne by the buyer.

 

Shipping costs are the responsibility of the purchaser and are highlighted explicitly at the time the order is placed.

 

Passing of risk

Risks related to the products will pass to the buyer from the time of delivery. Ownership of the products shall be deemed to have been acquired upon receipt of full payment of all amounts due in connection therewith, including shipping charges, or upon delivery if delivery occurs at a later date.

 

Warranty and Commercial Compliance.

The seller is responsible for any defect in the products offered on the site, including non-conformity of the items to the products ordered, in accordance with the provisions of Italian law.

 

In case of non-conformity, the user who has entered into the contract as a consumer shall have the right to obtain the restoration of the conformity of the products without charge, by means of replacement, or to obtain an appropriate price reduction or the termination of the contract with respect to the disputed goods and the consequent refund of the price.

 

Some products or services may be available exclusively online through the website. Such products or services may have limited quantities and are subject to return or exchange only in accordance with our policy for handling returns and replacement of goods.

 

We reserve the right to limit the quantities of products or services we offer. All product descriptions or product prices are subject to change at any time and without notice, at our sole discretion.

 

We reserve the right to discontinue distribution of any product at any time.

 

We do not guarantee that the quality of products, services, information or other materials acquired or obtained will be perfectly in line with your expectations, or that the service will be delivered without the presence of any error.

 

Withdrawal

In accordance with the legal provisions in force, the purchaser has the right to withdraw from the purchase without penalty and without specifying the reason, within the period of 14 days in accordance with art. 57 Legislative Decree 206/2005 starting from the date of receipt of the products.

 

In case of multiple purchases made by 'buyer with a single order and delivered separately, the period of 30 days starts from the date of receipt of the last product.

 

The user who wishes to exercise his right of withdrawal from the purchase made on EUSPHERA, may do so by:

The 'purchaser shall also exercise the right of withdrawal by sending any explicit statement containing the decision to withdraw from the contract or alternatively transmit the standard withdrawal form, set out in Annex I, Part B, Legislative Decree 21/2014 not mandatory.

The goods must be returned undamaged, in the original packaging, complete in all its parts and complete with the attached tax documentation. Without prejudice to the right to verify compliance with the above, the site will refund the amount of the products subject to withdrawal within a maximum period of 7 days.

 

The right of withdrawal will not apply in the event that the services and products of EUSPHERA are included in the categories of art. 59 of Legislative Decree 206/2005.

 

The site will perform the refund using the same means of payment chosen by the purchaser at the time of purchase. in the case of payment made by bank transfer, and if the user intends to exercise his right of withdrawal, he must provide the bank details: IBAN, SWIFT/BIC necessary to make the refund.

 

Data processing.

The buyer's data are processed in accordance with the provisions of the legislation on the protection of personal data, as specified in the specific section containing the information pursuant to Article 13 EU Regulation 2016/679 (Privacy Policy).

Applicable law and place of jurisdiction

These General Terms and Conditions of Sale B2C are governed by Italian law and interpreted on the basis now, without prejudice to any different prevailing mandatory rules of the country of habitual residence of the purchaser point consequently the interpretation, execution and termination of the general conditions of sale are subject exclusively to Italian law.

 

Any disputes inherent and/or consequent to the same shall be resolved exclusively by the Italian jurisdictional authority. In particular, if the user has the status of Consumer, any disputes shall be resolved by the court of the place of domicile presidency of the same according to the applicable law.
